Terms of Service

These Terms of Service ('Terms') govern your relationship with Krypha LTD ('we', 'us', 'our'), a company registered in Northern Ireland. By engaging our services or using our website, you agree to these Terms.

The 'Plain English' Summary: We build professional software. You pay us for it. Once paid, you own the code. We treat your data with confidentiality.

1. Services & Scope

Krypha provides technical engineering services, including but not limited to Web Development, Mobile Engineering, Cloud/DevOps, and AI Automation.

Specific deliverables, timelines, and costs for your project will be defined in a separate Project Proposal or Statement of Work (SOW). In the event of a conflict between these Terms and the SOW, the SOW shall prevail.

2. Payments & Invoicing

  • Payment Schedule: Unless otherwise agreed in an SOW, standard projects require a 50% deposit to commence work, with the remaining 50% due upon completion/delivery.
  • Late Payments: Invoices not paid within 14 days of the due date may incur a late fee of 5% per month.
  • Currency: All invoices are generated and payable in EUR (€) unless explicitly stated otherwise.

3. Intellectual Property (IP)

We believe in fair ownership. Unlike many agencies that hold code hostage, our policy is simple:

Client Ownership

Upon full payment of all fees, Krypha assigns to the Client 100% ownership of all custom code, designs, and assets created specifically for the project.

Background IP

Krypha retains ownership of its pre-existing tools, libraries, or frameworks used to build the project. You receive a perpetual, royalty-free license to use them.

4. Client Obligations

To ensure we can deliver 'Architectural' quality speed, we need you to:

  • Provide necessary access to servers, repositories, or third-party accounts (e.g., AWS, Stripe) in a timely manner.
  • Provide feedback and approvals within 3 business days of a request to avoid project delays.
  • Ensure you have the legal right to use all content (text, images, data) you provide to us.

5. Confidentiality

We take confidentiality seriously. Krypha agrees not to disclose any of your proprietary information, trade secrets, or business plans to third parties. This obligation remains in effect even after our contract ends.

*Note: We may share necessary information with our internal engineering team in Madagascar, who are bound by strict NDAs compliant with UK Law.

6. Warranties & Liability

Important Limitations

While we strive for perfection, software is complex. Krypha provides services 'as is' without warranty of any kind, either express or implied.

In no event shall Krypha be liable for indirect, incidental, or consequential damages (including lost profits or data) arising from the use of our software. Our total liability shall not exceed the total amount paid by you for the specific service in the 12 months preceding the claim.

7. Termination

Either party may terminate the agreement with written notice if the other party breaches a material term. Upon termination, you agree to pay for all work completed up to the termination date.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Northern Ireland. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.
